Limited License Agreement for Downloadable Purchases (Products)
Digital Product License Agreement
This Digital Product License Agreement ("Agreement") is between you ("Licensee"), Ascend Alliance Group ("Licensor"), and the individual coach who authored the product ("Author"). By purchasing and downloading this product, you agree to the following terms:
1. License Grant:
Licensor, on behalf of the Author, grants Licensee a limited, non-transferable, non-exclusive license to use the purchased digital product ("Product") for personal, non-commercial purposes only.
2. Restrictions:
Licensee shall not:
Share, distribute, or publicly display the Product.
Resell, redistribute, sublicense, or make the Product publicly available for free or purchase.
Modify, copy, reproduce, or otherwise create derivative works based on the Product.
3. Ownership:
The Author retains all ownership rights, intellectual property rights, and copyrights associated with the Product.
4. Termination:
Licensor reserves the right to terminate this license if Licensee violates any terms of this Agreement. Upon termination, Licensee agrees to immediately discontinue all use and destroy all copies of the Product.
5. Liability:
Licensor and Author shall not be liable for any damages arising from the use of the Product. The Product is provided "as is" without any warranties, expressed or implied.
6. Indemnification:
Licensee agrees to indemnify, defend, and hold Licensor and Author harmless from any claims, damages, liabilities, costs, or expenses (including reasonable attorney fees) arising out of or related to Licensee's breach of this Agreement or unauthorized use of the Product.
7. Governing Law and Jurisdiction:
This Agreement is governed by the laws of the State of Florida, United States. Licensee agrees that any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Orange County, Florida.
8. Enforcement:
Violations of this Agreement may result in legal action, including damages, penalties, or injunctive relief. By purchasing and downloading this Product, you acknowledge that you have read, understand, and agree to abide by these terms.
